How to Change Business Name: Detailed Procedure!

1.

Start with a meeting of the board of directors to propose and approve the change of company name.

Shareholders typically vote on the proposed name change through a special resolution, requiring a specified majority as per the Companies Act and your company's articles of association.

This application must be accompanied by the necessary forms, resolutions, and supporting documents as prescribed by the Companies Act and rules issued by the Ministry of Corporate Affairs (MCA).

The approval process may take several days to weeks, depending on the workload of the RoC and the completeness of the application.

Publish a public notice regarding the change of company name in at least one English and one vernacular newspaper circulating in the locality of the registered office of the company.

Once the board resolution is passed, call for a general meeting of shareholders to obtain their approval.

After obtaining shareholder approval, file an application with the RoC for approval of the new company name.

RoC will review the proposed name change and issue a Certificate of Incorporation with the new name upon satisfaction of all legal requirements.

Once the new name is approved by the RoC, update all statutory records, including the Memorandum and Articles of Association, share certificates, and other legal documents, to reflect the change.
